1Acceptance of these terms
These Terms of Service (the "Terms") form an agreement between you and MemeJutsu Ltd ("we", "us"), the operator of Memejutsu. By creating an account or using the website, dashboard or any related service (together, the "Service"), you agree to these Terms and to our Privacy Policy.
If you do not agree, do not use the Service.
2What the Service does
Memejutsu is a research and tooling product for people who create or follow meme coins. Depending on your plan, it lets you:
- detect rising social and news trends and see a "hype score" for them;
- check which existing tokens already use a name, ticker or narrative;
- track public social media accounts and receive alerts about them;
- generate draft coin concepts (names, tickers, lore and tokenomics ideas).
The Service is under active development and features are released gradually. Features marked "coming soon", including automated launching, are not part of the Service until we release them. We may add, change or remove features at any time.
3No financial advice and risk warning
Meme coins and other crypto-assets are extremely volatile, are frequently subject to manipulation and scams, and can lose all of their value. Trends can reverse within minutes. A high hype score does not predict price or profit. You are solely responsible for your decisions and for any losses, and you should only risk what you can afford to lose.
Before launching or trading anything, do your own research and, where appropriate, get independent professional advice. You are responsible for complying with the laws that apply to you, including securities, consumer-protection, tax and anti-money-laundering rules.
4Eligibility and your account
You must be at least 18 years old, and old enough to enter a binding contract where you live, to use the Service. If you use it for an organisation, you confirm you are authorised to bind that organisation.
Provide accurate information, keep your login credentials secure, and tell us promptly if you suspect unauthorised access. You are responsible for activity under your account. One account may not be shared between people unless your plan says otherwise.
5Early access, plans and payments
Memejutsu is currently in early access. Joining the waitlist is free, creates no obligation and does not involve any payment. When paid plans launch, we will show you the price and billing terms before you pay, and the rest of this section applies.
Paid plans are billed in advance, monthly or yearly, at the price shown when you subscribe. We accept the payment methods shown on the pricing page, which may include card and selected cryptocurrencies. Subscriptions renew automatically at the end of each billing period until you cancel. You can cancel at any time from your account settings, and your plan stays active until the end of the period you have already paid for.
Prices exclude taxes unless stated; we will add any VAT or sales tax that applies. We may change prices with reasonable advance notice, effective from your next billing period. Cryptocurrency payments are final once confirmed on-chain, and you bear network fees and exchange-rate risk.
Nothing in this section limits any non-waivable consumer rights you have under applicable law.
6Acceptable use
You agree not to use the Service to:
- break any law or regulation, or infringe anyone's rights;
- plan, promote or carry out fraud, rug pulls, pump-and-dump schemes, wash trading, market manipulation, impersonation or deceptive marketing of any token;
- harass, dox or target individuals, including the accounts you track;
- scrape, copy, resell or redistribute the Service or its data, or use it to build a competing product;
- probe, overload or attempt to bypass the security or usage limits of the Service;
- use automated means to access the Service other than through interfaces we provide.
We may suspend or remove access, with or without notice, if we reasonably believe you have breached this section.
7Third-party data and availability
The Service relies on public information from third-party platforms, news sources, blockchains and data providers. We do not control that information and do not guarantee that it is accurate, complete, timely or lawfully usable by you for your purposes. Platforms may change or restrict access, which can reduce or interrupt features.
Alerts, scores and competitor lookups may be delayed, incomplete or wrong. We do not promise uninterrupted or error-free operation. Third-party platform names are trademarks of their owners and do not imply endorsement.
8Intellectual property and generated content
We and our licensors own the Service, including its software, design, scores and databases. We grant you a limited, revocable, non-exclusive, non-transferable licence to use the Service for your own business or personal purposes under these Terms.
You keep ownership of the content you submit, such as keywords, watchlists and prompts, and grant us the licence needed to operate the Service for you. Draft names, tickers, logos and text generated for you are provided as suggestions. They may resemble existing names or trademarks, and we do not guarantee that they are original, available or free of third-party rights. You are responsible for checking and clearing them before use.
9Wallets and digital assets
We do not take custody of your digital assets and do not ask for your private keys or seed phrases. Never share them with anyone, including anyone claiming to represent Memejutsu. Any on-chain action you take is your own, is irreversible and is subject to the rules and fees of the relevant network.
10Disclaimers
To the fullest extent permitted by law, the Service is provided "as is" and "as available", without warranties of any kind, whether express or implied, including merchantability, fitness for a particular purpose, accuracy and non-infringement. We do not warrant that using the Service will lead to any particular result, including profit or a successful launch.
11Limitation of liability
To the fullest extent permitted by law, we are not liable for indirect, incidental, special, consequential or punitive damages, or for loss of profits, revenue, data, goodwill or digital assets, arising from or related to your use of the Service, even if we were told they were possible.
Our total liability for any claim relating to the Service is limited to the amount you paid us in the 12 months before the event giving rise to the claim. Nothing in these Terms excludes liability that cannot be excluded by law, such as for fraud, death or personal injury caused by negligence, or any rights you have as a consumer that cannot be waived.
12Indemnity
You agree to defend and indemnify us against claims, losses and costs (including reasonable legal fees) arising from your breach of these Terms, your misuse of the Service, or any token, content or activity you create or promote using it, except where the claim results from our own breach or wrongdoing.
13Suspension and termination
You may stop using the Service and close your account at any time. We may suspend or terminate your access if you breach these Terms, if required by law, or if we discontinue the Service, in which case we will give reasonable notice where practicable and refund any prepaid period we are unable to provide. Sections that by their nature should survive termination (including risk, liability, indemnity and governing law) will survive.
14Changes to these Terms
We may update these Terms from time to time. We will post the new version here with a new "last updated" date and, for material changes, notify you by email or in the product. Continued use after the changes take effect means you accept them.
15Governing law and disputes
These Terms are governed by the laws of England and Wales, without regard to conflict-of-law rules. The courts of England and Wales have exclusive jurisdiction, except that mandatory consumer-protection rules of the country where you live continue to apply and nothing here removes your right to bring a claim in your local courts where the law gives you that right.
